Does my company qualify for the lower company tax rate?

The 25% rate applies to a base rate entity: a company with aggregated turnover under $50 million and no more than 80% of its assessable income from base rate entity passive income. Other companies pay 30%. Test the company’s income and aggregated turnover conditions for the relevant year.

  1. Reconcile taxable income, passive income categories and connected entity information.
  2. Use the existing company tax example only after the inputs and applicable conditions have been established.

The example does not determine eligibility merely from accounting profit.

How should I record money paid to a director as wages, dividends or a loan?

Wages and director’s fees are assessable income to you, and the company must withhold PAYG from them. A loan to a shareholder or their associate can be treated as a dividend under Division 7A unless it is repaid, or put under a complying written agreement, before the company’s lodgment day. Record a director payment according to its legal basis and supporting documents.

  1. Gather payroll records, dividend documents or loan terms and trace each payment.
  2. Review withholding, super, franking and Division 7A consequences before posting or reclassifying it.

Changing the ledger label does not change the underlying transaction.

83.

Does taking money out of my company create a Division 7A problem?

It can. A payment, loan or forgiven debt from a private company to a shareholder or their associate can be treated as a dividend under Division 7A, generally unfranked. A loan avoids this if it is fully repaid, or put under a complying written agreement, before the company’s lodgment day. Review company payments, loans and debt forgiveness involving shareholders or associates under Division 7A.

  1. Reconcile the person’s account and gather agreements, dates and repayment evidence.
  2. Use the existing review case to organise the evidence and identify unresolved legal questions.

The repayment worksheet does not decide whether a loan is complying or whether a deemed dividend arises.

How do I calculate the minimum yearly repayment on a complying Division 7A loan?

The minimum yearly repayment uses the benchmark interest rate (8.77% for 2026-27 and 8.37% for 2025-26 for a 30 June year end), the unpaid balance and the remaining term. The maximum term is 7 years, or 25 years for a loan fully secured by a registered mortgage over real property. Use the minimum yearly repayment calculation for an established complying loan and the correct year.

  1. Gather the relevant opening balance, benchmark rate, remaining term and qualifying repayments.
  2. Reproduce the existing Division 7A case, then retain the inputs and compare required with actual qualifying repayments.

Eligibility, amalgamation and repayment classification must already have been reviewed.

85.

Which payments count as repayments of a Division 7A loan?

A repayment may not count if you reborrow a similar or larger amount from the company afterwards, or use money borrowed from the company to make it. A dividend can be set off against a minimum yearly repayment only if both exist and the offset is agreed by the end of the income year, usually 30 June. Review the source, timing and surrounding arrangements for each proposed repayment.

  1. Trace the payment through bank and loan records and identify any reborrowing or circular movement.
  2. Document the section 109R review and qualifying amount before using the minimum repayment worksheet.

A credit to a director loan account is not automatically a qualifying Division 7A repayment.

What must a family trust document before distributing income at year-end?

A resolution making beneficiaries presently entitled to trust income is only effective for tax if it is made by 30 June, or earlier if the deed requires. If it isn’t effective, the trustee or other beneficiaries may be assessed instead, and a trustee may be taxed at the top rate. Build the distribution file from the deed, beneficiary position, income calculation and trustee decision.

  1. Check the deed and timing requirements, prepare the relevant income and distribution schedules, and retain resolutions.
  2. Use the existing trust example to separate arithmetic from missing documents and unresolved entitlement.

The tool cannot validate a deed or cure a late or ineffective trustee decision.

How do dividends and franking credits affect my tax return?

A franking credit is tax the company has already paid on the dividend. Include the dividend and franking credit in your return; the credit reduces your tax, and an eligible individual gets any excess refunded. If your franking credits for the year total $5,000 or more, you must have held the shares at risk for at least 45 days (90 for preference shares). Reconcile the dividend statement to cash received, the franked or unfranked amount and franking credits.

  1. Record any foreign, trust or other adjustments and the relevant holding period evidence.
  2. Use the ATO investment and imputation guidance to determine what appears in the return.

A stated franking credit does not automatically establish entitlement to use the offset.

Does providing a company car or paying an employee’s private expenses create FBT?

It can. FBT applies if a company car is used or available for an employee’s private use, and reimbursing or paying for an expense an employee incurs can be an expense payment fringe benefit. FBT is 47% of the grossed-up taxable value for FBT years ending 31 March. Identify the benefit, recipient, private use and FBT year before valuing anything.

  1. Gather vehicle records or expense invoices, employee contributions and any claimed exemption evidence.
  2. Apply the appropriate valuation method and reconcile the resulting taxable value to the FBT workpaper.

The existing worksheet grosses up supplied taxable values; it does not decide whether a benefit or exemption exists.

What information do I need to prepare an ATO payment plan proposal?

A payment plan must clear the debt in the shortest possible fixed period, with weekly, fortnightly or monthly instalments. General interest charge keeps accruing daily, you must pay new tax debts on time, and income tax and activity statement debts need separate plans. Prepare a proposal that shows how the debt and ongoing obligations could be paid.

  1. Reconcile the ATO debt, outstanding lodgements and available cash, and prepare a realistic payment forecast.
  2. Use the ATO support route to discuss terms and retain any accepted arrangement.

A forecast does not establish acceptance, interest relief or removal of other obligations.

Could my related businesses be grouped together for NSW payroll tax?

Businesses can be grouped for NSW payroll tax through related corporations, common employees, common control, tracing of interests, phoenix operators or subsuming smaller groups. Only one group member claims the tax-free threshold, against the group’s combined wages. Assess the relationships between businesses against the NSW grouping rules.

  1. Prepare an ownership and control diagram, shared-employee details and financial relationships.
  2. Document each grouping test and any exclusion application, then reconcile group wages.

Separate company names or accounts do not by themselves prevent payroll tax grouping.
